Terms of Use

These Terms of Use constitute an agreement between the user, the client organization on whose behalf the user acts, if applicable, and 9557-8837 Québec inc., operating as Solutions Alynd ("Alynd"), operator of the Alynd platform. They govern access to and use of the Platform. By accessing the Platform or any Alynd feature, you confirm that you have read, understood, and agreed to these Terms.

For the purposes of these Terms, a "user" means any individual acting on behalf of the client, who is authorized to access and use Alynd within the scope of their duties.

A "client organization" means the organization for which the user works and which has subscribed to use the Platform.

If you do not agree to these Terms, you must immediately stop using Alynd.

Purpose of the Services

Alynd is an AI-powered operating system for structured talent acquisition, designed to help client organizations and their authorized users organize and align the hiring process upstream — before any candidate is sourced or contacted. It allows users to, among other things, generate clear and well-structured job descriptions, develop consistent, competency-based interview evaluation grids, track hiring decisions against role objectives and success criteria, and create role briefs to prepare candidates and hiring teams.

Alynd's services are intended to promote greater clarity before a position is posted and to support hiring decisions that are more consistent, better documented, and more attentive to reducing bias. Alynd is a decision-support and information-structuring tool; it does not replace the professional judgment of users or the client organization's obligations regarding compliance, fairness, human rights, and the protection of personal information.

Access, Authorized Users, and Accounts

Access to Alynd is limited to client organizations and the users they authorize. Each user must use their own account, keep their credentials confidential, and promptly notify Alynd or the client organization if they believe their account's security has been compromised.

User accounts may not be shared, transferred, lent, or used by anyone other than the authorized user. The client organization remains responsible for designating authorized individuals, managing internal access, and notifying Alynd when access needs to be modified, suspended, or removed.

Sharing or using an account by someone other than the authorized user compromises the integrity of the Platform's features, and Alynd cannot be held responsible for the consequences of such sharing or unauthorized use.

Alynd may also suspend or restrict access to any user account or feature where reasonably necessary to ensure security, prevent misuse, comply with the law, protect information being processed, or enforce these Terms.

Roles of the Client Organization and Users

The client organization and its users are responsible for the accuracy, relevance, sufficiency, and currency of the information entered into Alynd. Generated recommendations depend on the information provided and may be incomplete or inadequate if the underlying facts are inaccurate, partial, ambiguous, or poorly characterized.

The client organization remains solely responsible for its decisions and, accordingly, for its legal and contractual obligations, as well as for obtaining any professional advice it considers necessary.

Use of Artificial Intelligence and Automated Technologies

Although developed drawing on expertise in technology, employment law, and human resources, Alynd does not provide legal advice. Instead, it provides recommendations, general guidance, and standardization tools designed to help reduce bias. Alynd has not undergone, and does not represent that it has undergone, any formal third-party legal or regulatory compliance review or certification of the Platform or its outputs.

Alynd may use rules, analytical models, automated technologies, or artificial intelligence systems to generate role briefs, job descriptions, and interview questions, among other things.

Compliance-Related Flags

The Platform may present flags intended to draw attention to certain jurisdiction-specific hiring considerations — for example, a missing salary range where one is legally required, or a language requirement applicable in a given province. These flags are provided as a helpful reference only. They do not constitute a compliance guarantee, legal advice, or a certification that any content, position, or hiring practice complies with any law. Applicable legislation may change, and Alynd is not responsible for the effects of any such change or for any flag that is incomplete or incorrect; the client organization remains solely responsible for verifying current legal requirements.

The Platform may similarly flag interview questions with reference to publicly available human rights guidance and current legislation regarding prohibited or discriminatory questions. This feature is not exhaustive and does not constitute a legal opinion or a guarantee that all interview questions are lawful in every jurisdiction.

No Legal Advice and No Attorney-Client Relationship

The online services and content provided as part of the services do not constitute legal advice, and Alynd does not guarantee that they are exhaustive.

Use of the online services or content does not create, and will not create, any attorney-client relationship between the user and Alynd, or any of its officers, employees, agents, subcontractors, or other representatives.

Confidentiality, Sensitive Information, and Appropriate Use of Data

Users must enter only the information that is necessary, accurate, and relevant to the matter being processed. They must avoid entering excessive, irrelevant, speculative, discriminatory, or defamatory information.

Use of Alynd must comply with the Privacy Policy, the client organization's internal policies, and applicable privacy, human rights, and employment laws.

Prohibited Uses

Alynd may not be used for illegal, abusive, discriminatory, or deceptive purposes, or in a manner inconsistent with these Terms. In particular, it is prohibited to attempt to access unauthorized accounts, records, data, or features; disrupt the operation of the Platform; circumvent security measures; transmit malicious code; or use bots, scripts, automated collection tools, or similar techniques without prior written authorization.

Intellectual Property

Alynd, its interface, structure, features, text, methods, models, settings, recommendations, templates, workflows, knowledge bases, code, visual elements, and any related documentation are protected by applicable intellectual property laws and remain the property of Alynd or its rights holders.

Subject to the applicable agreement between Alynd and the client organization, Alynd grants users a limited, non-exclusive, non-transferable, revocable licence, without the right to sublicense, to use Alynd solely for the client organization's internal purposes.

Nothing in these Terms transfers to the user or the client organization any ownership right in Alynd, its components, methods, models, content, general recommendations, or underlying technologies.

Prohibition on Extraction, Reverse Engineering, and Training of AI Systems

It is prohibited to copy, extract, bulk-download, reproduce, adapt, disassemble, decompile, attempt to discover the source code of, or reconstruct the logic, parameters, or methods of Alynd, or to use Alynd's content, recommendations, data, outputs, or elements to create, train, retrain, validate, test, or improve an artificial intelligence system, a machine learning model, a database, or a competing product, without Alynd's prior written authorization.

For clarity, Alynd may use anonymized or aggregated data derived from the use of the Platform to train, retrain, validate, test, or improve its own artificial intelligence systems, as described in the Privacy Policy.

Third-Party Services and Technology Providers

Alynd may rely on technology providers, hosting services, security services, analytics tools, communication services, or other third-party services necessary for the operation, support, maintenance, security, or improvement of the Platform, including artificial intelligence service providers used to generate certain content.

These providers may change from time to time. Use of Alynd may be subject to certain technical limits, conditions, or constraints specific to these providers, without creating any direct contractual relationship between the user and these providers, unless otherwise indicated. A current list of Alynd's principal service providers is available at [insert link], or upon request.

Availability, Updates, and Backup of Content

The Platform may be modified, updated, suspended, or temporarily unavailable, including for maintenance, security, improvement, correction, technical constraints, or force majeure. Alynd does not guarantee that the Platform or its features will be accessible without interruption, error-free, or available at all times.

The client organization and users are responsible for retaining, in their own systems or records, any documents, decisions, or content they wish to preserve in accordance with their internal and legal obligations.

No Warranty

Alynd is provided, to the extent permitted by law, without any warranty of results, fitness for a particular situation, absence of error, complete accuracy, completeness, continuous availability, or fitness for a particular purpose. Recommendations or other generated content may contain errors, omissions, inaccuracies, or limitations.

Limitation of Liability

The client organization and authorized users remain solely responsible for their use of Alynd, the information they enter, their interpretation of recommendations, the decisions they make, and the consequences that result.

To the fullest extent permitted by applicable law, Alynd, its officers, directors, employees, agents, suppliers, and partners shall not be liable for any indirect, special, incidental, punitive, or consequential damages, or for any loss of profits, revenue, goodwill, data, business opportunities, productivity, or reputation arising from the use of, or inability to use, Alynd.

Indemnification

The client organization and users agree to indemnify and hold harmless Alynd, its officers, directors, employees, agents, suppliers, and partners against any claim, loss, liability, damage, penalty, fine, or reasonable expense arising from their use of Alynd, the information they enter into it, their decisions, their communications, their breach of these Terms, or their failure to comply with applicable law.

Sanctions and Suspension

In the event of non-compliance with these Terms, misuse, a security risk, a violation of Alynd's or a third party's rights, or non-compliance with applicable law, Alynd may, among other things, suspend or remove access to an account, restrict certain features, delete or block certain content, request that certain conduct cease, notify the client organization, or pursue any available remedy.

Electronic Messages

Alynd may send users electronic communications relating to their account, access to the services, support, security, updates, changes to the services, or these Terms. Any commercial or promotional communications will be sent in accordance with applicable law and may be unsubscribed from.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to any mandatory provision to the contrary, any dispute relating to these Terms or the use of Alynd will be submitted to the competent courts of the Province of Quebec.

Severability

If any provision of this agreement is found to be void, invalid, illegal, or unenforceable, in whole or in part, by a court or competent authority, that provision will be severed from the agreement to the extent necessary. The remaining provisions will remain in full force and effect, and their validity or enforceability will not be affected.

Versions

These Terms may be made available in French and in English. In the event of a discrepancy, contradiction, or inconsistency between versions, the French version prevails, unless otherwise required by law.
