These Terms of Use constitute an agreement between the User, the Client Organization for which the User acts, if applicable, and 9557-8837 Québec inc., operating under the name Alynd Solutions, operator of the Alynd Platform. They govern access to and use of the Platform. By accessing the Platform or any Alynd functionality, you confirm that you have read, understood, and accepted these Terms.
For purposes of these Terms, User means: any natural person acting on behalf of the Client and who is authorized to access and use Alynd in the course of their functions.
Client Organization means the organization for which the User works and that has subscribed to use of the Platform.
If you do not accept these Terms, you must immediately cease using Alynd.
Scope of Services
Alynd is an AI-powered recruitment management platform designed to help Client Organizations and their authorized Users structure certain stages of the recruitment process. It enables, among other things: generating clear, well-structured job descriptions; developing uniform, competency-based interview evaluation grids; tracking hiring decisions based on role objectives and success criteria; and creating job briefs intended to prepare candidates and recruitment teams.
Alynd's services aim to promote greater clarity before job posting and to support more consistent, documented recruitment decisions that attend to bias reduction. Alynd is a decision-support and information-structuring tool; it does not replace the professional judgment of Users or the Client Organization's obligations regarding compliance, equity, human rights, and personal information protection.
Access, Authorized Users, and Accounts
Access to Alynd is reserved for Client Organizations and the Users they authorize. Each User must use their own account, maintain the confidentiality of their credentials, and notify Alynd or the Client Organization without delay if they believe their User account security has been compromised.
User accounts may not be shared, transferred, loaned, or used by anyone other than the authorized User. The Client Organization remains responsible for designating authorized persons, managing internal access, and notifying Alynd when access must be modified, suspended, or removed.
Sharing or use of an account by anyone other than the authorized User compromises the integrity of Platform functionalities, and Alynd will not be held responsible for consequences resulting from such sharing or unauthorized use.
Furthermore, Alynd may suspend or restrict access to any User account or functionality when reasonably necessary to ensure security, prevent misuse, comply with the law, protect information processed, or enforce these Terms.
Roles of Client Organization and Users
The Client Organization and its Users are responsible for the accuracy, relevance, sufficiency, and currency of information entered into Alynd. Generated recommendations depend on the information provided and may be incomplete or inadequate if facts are inaccurate, partial, ambiguous, or poorly qualified.
Thus, the User commits to:
- Entering accurate and complete descriptions;
- Complying with the Client Organization's internal policies and applicable laws regarding employment, human rights, and personal information protection;
- Validating the content of all generated content before distribution, including its compliance with the Client Organization's policies, where applicable.
The Client Organization remains solely responsible for its decisions and therefore for its legal and contractual obligations, as well as any professional consultation deemed necessary.
Use of Artificial Intelligence and Automated Technologies
Although developed from expertise in technology, employment law, and human resources, Alynd does not provide legal advice but rather formulates recommendations, general guidance, and standardization tools to reduce bias.
Alynd may use rules, analytical models, automated technologies, or artificial intelligence systems to generate job descriptions, task descriptions, and interview questions, among others.
Disclaimer Regarding Compliance Indicators
The Platform may display certain indicators or alerts intended to flag legal or regulatory requirements applicable in certain jurisdictions, including regarding salary scale disclosure, linguistic requirements, or similar obligations. These indicators are provided for informational purposes only to assist Users in their compliance efforts and do not constitute a guarantee of legal compliance nor legal advice.
Disclaimer Regarding Reporting of Illegal Questions
The functionality for reporting potentially illegal questions is designed to help Users identify certain questions that may raise issues regarding human rights, protection against discrimination, or legal compliance. This functionality is based on public guidance, guidelines issued by competent bodies, and legislation in effect at the time of its development or update. However, this functionality is not exhaustive and does not enable identification of all situations that may be non-compliant with applicable laws.
Absence of Legal Advice and Attorney-Client Relationship
The online services and content provided as part of the services do not constitute legal advice, and Alynd does not guarantee that they are exhaustive.
Use of the online services or content does not create and will not create any attorney-client relationship between the User and Alynd, nor with any of its officers, employees, agents, contractors, or other representatives. The User remains solely responsible for the use they make of the Platform and for the compliance of their practices with applicable laws.
Confidentiality, Sensitive Information, and Appropriate Use of Data
Users must enter only necessary, accurate, and relevant information for file processing. They must avoid entering excessive, irrelevant, speculative, discriminatory, or defamatory information.
Use of Alynd must comply with the Privacy Policy, the Client Organization's internal policies, and applicable laws regarding personal information protection, human rights, and labor.
Prohibited Uses
It is prohibited to use Alynd for illegal, abusive, discriminatory, deceptive, or incompatible purposes. It is in particular prohibited to attempt to access unauthorized accounts, files, data, or functionalities; disrupt Platform operation; circumvent security measures; transmit malicious code; or use robots, scripts, automated collection tools, or similar techniques without prior written authorization.
Intellectual Property
Alynd, its interface, structure, functionalities, texts, methods, models, parameters, recommendations, templates, workflows, knowledge bases, code, visual elements, and all related documentation are protected by applicable intellectual property laws and remain the property of Alynd or its rights holders.
Subject to the applicable agreement between Alynd and the Client Organization, Alynd grants Users a limited, non-exclusive, non-transferable, revocable, non-sublicensable license permitting them to use Alynd solely for the internal needs of the Client Organization.
No provision of these Terms transfers to the User or Client Organization any ownership right in Alynd, its components, methods, models, content, general recommendations, or underlying technologies.
Prohibition on Extraction, Reverse Engineering, and AI System Training
It is prohibited to copy, extract, bulk download, reproduce, adapt, disassemble, decompile, attempt to discover source code, reconstruct logic, parameters, or methods of Alynd, or use Alynd's content, recommendations, data, outputs, or elements to create, train, retrain, validate, test, or improve an artificial intelligence system, machine learning model, database, or competing product without prior written authorization from Alynd.
However, Alynd reserves the right to use anonymized content from its Users for training purposes to train, validate, test, or improve its own artificial intelligence system.
Third-Party Services and Technology Providers
Alynd may rely on technology providers, hosting services, security services, analytics tools, communication services, or other third-party services necessary for the operation, support, maintenance, security, or improvement of the Platform.
These providers may change from time to time. Use of Alynd may be subject to certain technical limitations, conditions, or constraints specific to these providers, without creating a direct contractual relationship between the User and these providers, unless otherwise indicated.
Availability, Updates, and Content Backup
The Platform may be modified, updated, suspended, or temporarily unavailable, in particular for maintenance, security, improvement, correction, technical constraints, or force majeure reasons. Alynd does not guarantee that the Platform or its functionalities will be accessible without interruption, without error, or at all times.
The Client Organization and Users are responsible for preserving, in their own systems or files, documents, decisions, or content they wish to retain in compliance with their internal and legal obligations.
Absence of Warranty
Alynd is provided to the extent permitted by law without warranty of result, suitability for a particular situation, absence of error, complete accuracy, exhaustiveness, continuous availability, or fitness for a particular use. Recommendations or other generated content may contain errors, omissions, inaccuracies, or limitations.
Limitation of Liability
The Client Organization and authorized Users remain solely responsible for the use of Alynd, the information entered, the interpretation of recommendations, the decisions made, and their consequences.
To the fullest extent permitted by applicable law, Alynd, its officers, directors, employees, agents, suppliers, and partners cannot be held responsible for indirect, special, incidental, punitive, or consequential damages, nor for any loss of profits, revenues, customers, data, business opportunities, productivity, or reputation resulting from the use or inability to use Alynd.
Indemnification
The Client Organization and Users commit to indemnify and hold harmless Alynd, its officers, directors, employees, agents, suppliers, and partners from any claim, loss, liability, damage, penalty, fine, or reasonable expense arising from their use of Alynd, the information they enter, their decisions, their communications, their breach of these Terms, or their non-compliance with applicable laws.
Sanctions and Suspension
In case of non-compliance with these Terms, misuse, security risk, violation of Alynd's or a third party's rights, or non-compliance with applicable laws, Alynd may in particular suspend or remove access to an account, restrict certain functionalities, delete or block certain content, demand cessation of conduct, notify the Client Organization, or exercise any available remedy.
Electronic Messages
Alynd may send Users electronic communications related to their account, service access, support, security, updates, service changes, or these Terms. Commercial or promotional communications, where applicable, will be sent in compliance with applicable laws and may be subject to unsubscribe.
Applicable Law and Dispute Resolution
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply therein. Subject to any contrary mandatory provision, any dispute relating to these Terms or the use of Alynd will be subject to the competent courts of the Province of Quebec.
Entire Agreement
If any provision of this agreement is declared null, invalid, illegal, or unenforceable, in whole or in part, by a court or competent authority, this provision will be severed from the agreement to the extent necessary. The other provisions will remain fully valid and enforceable, and their validity or enforceability will not be affected.
Versions
These Terms may be made available in French and English. In case of divergence, contradiction, or inconsistency between versions, the French version prevails, unless otherwise required by law.
